UAE Commercial Companies Law Amendments: What Investors Need to Know

The UAE had introduced significant reforms to the Commercial Companies Law, expanding flexibility for LLC share structures, strengthening investor exit rights, and enabling company re-domiciliation between mainland and free zones. The amendments create new fundraising opportunities and governance rules, requiring businesses to review existing corporate structures, constitutional documents, and shareholder agreements.


Federal Decree-Law No. 20 of 2025 has reshaped the United Arab Emirates (UAE) corporate framework in ways that matter directly to founders, investors, and corporate counsel. The amendments go beyond technical housekeeping.
They expand structuring options for limited liability companies (LLCs), sharpen exit tools for minority shareholders, open new fundraising pathways, and make it easier to move companies between mainland and free zone systems without starting over. For Asia-based businesses using the UAE as a holding, operating, or investment platform, the practical question is no longer only what changed in the law, it is whether existing structures, constitutional documents, and governance arrangements still fit commercial reality.

Capital structuring becomes more flexible
